Terms of Reference
The Governance Committee shall be composed of:
- five (5) non-Executive Council members;
- one (1) Student at Large;
- the Strategy and Governance Lead in the President’s Office, who shall be non-voting; and
- the Clerk of Council, who shall be non-voting
The Governance Committee shall:
- meet at least once every two weeks;
- take stewardship of the Code and Bylaws of the Society;
- work on periodic governance reviews of the Society;
- propose annual goals for itself to the Agenda Committee and be responsible for completing those goals; and
- make rulings, by Resolution, to provide interpretations of disputed provisions in the Society’s governing documents, including but not limited to its Constitution, Bylaws, Code of Procedure, and Policies, in accordance with the following provisions:
- before ruling, it must consult with the Speaker and, in the case of Policies, the responsible body for that Policy or its Chair;
- it must not rule on electoral procedures, those being under the purview of the Elections Committee; and
- have such other duties as are outlined in the Bylaws or the Code or assigned by Council from time to time.
All proposed amendments to the Code shall be sent to the Governance Committee or its Chair for consultation before going to Council.
Meeting Times
The Governance Committee is suspended as long as the Governance Review Committee is functioning.
